Company Registration in India requires a lot of
documents in a perfect manner to be presented to the concerned authority i.e.,
Registrar of Companies (ROC). The founders and directors of the company must
ensure that the documents submitted to Registrar of Companies (ROC) are up to

The promoters of
the company shall provide the details regarding the share capital of the
company including the nominal and paid-up share capital of the company
and business
activity of the company including the NIC code of business activity of the
company.
BASIC REQUIREMENTS TO REGISTER A COMPANY
The basic requirements for company
Registration are as follows:

Proposed Name:
It shall have a name which is duly approved by CRC, Registrar of Companies.
It is necessary for a Private Limited Company to end its name with the word
“Private Limited” and for public limited company to end with words “limited”
unless it is Section 8 company.

Members:
Minimum two (2) and maximum two hundreds (200) members can be shareholders of a
Private Limited Company. In case of Public company minimum seven (7) members
are required, there is no limit on maximum number of members.

Directors:
There shall be at least 2 and a maximum of 15 directors in a Private Company.
However, after passing Special Resolution more than 15 directors can be
appointed.

Registered office:
Company must have a permanent place of business, which is registered with MCA
as Registered Office either at the time of incorporation or within 30 days of
incorporation by filing form INC-22 if at the time of incorporation, the
company has given the correspondence address.
·
Share capital:
Company can be incorporated with any amount of share capital. The minimum
capital requirement of one or five lakh rupees has been done away.
·
Object:
Company should have a valid object and objects ancillary to it for which
company has got incorporated. It will be appropriate to select the correct NIC
code at the time of filing name reservation or company incorporation.
·
Professional Certification:
To incorporate a Company, Certification of Professional such as CS/CA/CMA in
Practice is mandatory.
